These Terms of Service ("Terms") govern your use of kestrelmetrics.com (the "Site") and the services offered by VonLloyd, LLC, doing business as Kestrel Metrics ("Kestrel Metrics," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.

1. Services

Kestrel Metrics provides business operations consulting services, including complimentary discovery calls, the Revenue Leakage Diagnostic (a structured operational interview and analysis), and related advisory services. The scope, fees, and deliverables of any paid engagement are defined in a separate written agreement or proposal.

2. No Guarantee of Results

Our services provide analysis and recommendations based on the information you supply. Business outcomes depend on many factors outside our control, including the accuracy and completeness of information you provide and your implementation of recommendations. We do not guarantee any specific financial result, revenue recovery, or business outcome. Illustrative figures on the Site are examples, not promises.

3. Not Professional Legal, Tax, or Investment Advice

Our services are business consulting services. Nothing we provide constitutes legal, tax, accounting, or investment advice. You should consult qualified professionals for advice in those areas.

4. SMS Text Messaging Terms

By opting in to receive text messages from Kestrel Metrics, you agree to receive messages related to scheduling your discovery call, including confirmations, reminders, and rescheduling notifications. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time or HELP for assistance. Carriers are not liable for delayed or undelivered messages. 5. Intellectual Property

All content on the Site, including text, graphics, logos, the Kestrel Metrics name and mark, and the Five States of Revenue framework, is the property of VonLloyd, LLC and is protected by applicable intellectual property laws. Deliverables provided under a paid engagement are licensed to you for internal business use upon full payment, unless otherwise agreed in writing.

6. Client Responsibilities

You agree to provide accurate and complete information during discovery calls and diagnostic engagements. Our analysis is only as reliable as the information supplied.

7. Confidentiality

We treat non-public business information you share during engagements as confidential and use it solely to deliver our services, consistent with our Privacy Policy.

8. Fees and Payment

Discovery calls are provided at no charge. Fees for the Revenue Leakage Diagnostic and any subsequent services are stated before engagement and are due as specified in the applicable agreement or invoice.

9. Limitation of Liability

To the maximum extent permitted by law, Kestrel Metrics and VonLloyd, LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site or our services. Our total liability for any claim arising out of an engagement shall not exceed the fees actually paid by you for that engagement.

10. Disclaimer of Warranties

The Site and our services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute shall be resolved in the state or federal courts located in Texas.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
